Terms of Service

1. Eligibility

You must be at least 13 years old, or the minimum age required by applicable law, to use the Services. If you are under the age of majority in your jurisdiction, you may need permission from a parent or legal guardian.

Certain features are available only to approved Creators, Recruiters, Managers, Owners, or Administrators.

2. Accounts and roles

You agree to:

• Provide accurate and complete information.
• Keep your credentials confidential.
• Use only the account and role assigned to you.
• Notify us immediately of unauthorized access.
• Not share accounts or impersonate another person.

VRTX may assign, change, suspend, or revoke roles and permissions to protect the Services and enforce these Terms.

3. Acceptable use

You agree not to:

• Use the Services for unlawful, fraudulent, abusive, harassing, or harmful purposes.
• Misrepresent your identity, creator status, Backstage status, performance, or eligibility.
• Circumvent TikTok, Backstage, Discord, Notion, or other platform rules, limits, or access controls.
• Scrape, reverse engineer, overload, or disrupt the Services.
• Access data or accounts without authorization.
• Send spam, misleading messages, or unauthorized commercial communications.
• Use AI tools to generate deceptive, abusive, infringing, or unlawful content.
• Attempt to manipulate creator metrics, recruiting claims, payouts, or performance records.

4. Creator development and performance

VRTX may provide development tools, including the 14-Day Sprint, 90-Day Onboarding Pipeline, performance tracking, goals, sessions, coaching, milestones, and related reporting.

These tools support development and operational management. They do not guarantee creator growth, earnings, placement, continued participation, or any particular outcome.

VRTX may update development requirements, scoring rules, goals, milestones, and program criteria from time to time.

5. Recruiting and Radar

Radar and related recruiting features may be used only for legitimate creator identification, evaluation, and outreach consistent with VRTX policy and applicable platform terms.

You acknowledge that:

• Recruiting claims may be reviewed and disputed.
• Eligibility determinations may change.
• VRTX may require evidence of first contact or other supporting information.
• Owners may make final decisions regarding disputed claims.
• No recruiting claim guarantees credit, compensation, or creator participation.

6. AI-generated content

The Services may include AI-generated summaries, recommendations, drafts, alerts, coaching suggestions, and reports.

AI output is informational and may contain errors. You are responsible for reviewing AI-generated content before relying on it or taking action.

AI features do not create a fiduciary relationship, professional advice, or an automatic decision-making entitlement.

7. Third-party platforms

The Services may integrate with TikTok, Backstage, Discord, Notion, and other third-party platforms.

Your use of those platforms remains subject to their own terms, privacy policies, and rules. VRTX is not responsible for third-party platform availability, content, actions, or policy changes.

8. Intellectual property

VRTX owns or licenses the Services, software, branding, content, workflows, data models, and related materials.

You retain ownership of content you submit, but grant VRTX a limited license to host, process, display, and use that content solely to provide and improve the Services.

You may not copy, modify, distribute, or create derivative works from the Services without written permission.

9. Fees and payments

Certain Services, bonuses, recruiter compensation, creator incentives, or payouts may be subject to separate program terms, eligibility rules, and payment processes.

VRTX may change fees, rates, tiers, or program terms with reasonable notice where required. Amounts owed, if any, will be calculated according to the applicable program rules.

10. Termination

You may stop using the Services at any time.

VRTX may suspend or terminate access if you violate these Terms, create risk for VRTX or others, or as required by law. We may also discontinue or modify features at any time.

Upon termination, certain information may be retained as required by law or legitimate business needs.

11. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, except as required by law.

VRTX disclaims implied warranties of merchantability, fitness for a particular purpose, accuracy, uninterrupted availability, and non-infringement to the maximum extent permitted by law.

12. Limitation of liability

To the maximum extent permitted by law, VRTX will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, data, goodwill, or business opportunities.

VRTX’s total liability arising from the Services will not exceed the greater of:

• The amount you paid VRTX in the 12 months before the claim; or
• $100.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless VRTX, its affiliates, personnel, and contractors from claims, damages, losses, and expenses arising from your use of the Services, your content, or your violation of these Terms or applicable law.

14. Governing law and disputes

These Terms are governed by the laws of the state in which VRTX Agency LLC is organized, United States, without regard to conflict-of-law rules.

Any dispute will be resolved in the state or federal courts located in the county of VRTX Agency LLC’s principal place of business, unless applicable law provides otherwise.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted with a revised “Last updated” date.

Continued use after changes take effect means you accept the revised Terms.
